Terms of Service
Last updated: October 5, 2026
These Terms of Service (the "Terms") govern your use of LogisticsUI (the "Service"), operated by Mitch Whitnack, a sole proprietor based in Vancouver, British Columbia, Canada ("LogisticsUI", "we", "us"). By using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you agree to them on that business's behalf.
1. The Service
LogisticsUI is an AI-powered workflow and automation platform. It connects to the third-party systems you authorize, such as warehouse management, shipping, e-commerce and accounting software, and performs actions in them on your instructions.
2. Accounts
You are responsible for your account, for keeping your login credentials secure, and for all activity under your account. Tell us promptly if you believe your account has been accessed without permission.
3. Connected systems
When you connect a third-party system, including QuickBooks Online, you authorize us to access and act on your data in that system to provide the Service. You confirm you have the right to grant that access. Your use of each third-party system remains subject to that provider's own terms. We are not responsible for the availability, changes or errors of third-party systems.
You can disconnect any connected system at any time: contact us and we will disconnect it for you. QuickBooks Online and Jobber can also be disconnected by asking in the LogisticsUI chat.
4. AI-generated actions
The Service uses AI models to interpret requests and carry out actions, such as creating orders, invoices or records. AI output can be wrong. You are responsible for reviewing the results of actions taken on your behalf, especially financial records such as invoices and payments, and for the decisions you make based on them.
5. Acceptable use
You agree not to:
- use the Service for anything unlawful;
- attempt to access other customers' data or interfere with the Service's security or operation;
- reverse engineer or copy the Service;
- use the Service to send spam or harmful content.
6. Fees
Fees, billing terms and any onboarding charges are set out in your agreement or order with us. Unpaid fees may result in suspension of the Service.
7. Your data
You own your data. You grant us permission to use it only as needed to provide and support the Service. Our handling of personal information is described in our Privacy Policy at https://logisticsui.com/privacy.
8. Our property
The Service, including its software and workflows we build, belongs to us. These Terms give you a right to use the Service; they do not transfer ownership.
9. Disclaimer
The Service is provided "as is" and "as available". To the extent permitted by law, we make no warranties, express or implied, including that the Service will be uninterrupted or error-free.
10. Limitation of liability
To the extent permitted by law, we are not liable for indirect, incidental, consequential or lost-profit damages. Our total liability for any claim relating to the Service is limited to the fees you paid us in the 12 months before the claim arose.
11. Termination
You can stop using the Service at any time. We may suspend or end your access if you breach these Terms. On termination, your data is handled as described in our Privacy Policy.
12. Changes
We may update these Terms. We will post the updated version on this page and change the "Last updated" date. Continued use of the Service after a change means you accept it.
13. Governing law
These Terms are governed by the laws of British Columbia and the federal laws of Canada that apply there. Disputes will be resolved in the courts of British Columbia.
